The contractor will pay council for the item. Unless expressly agreed otherwise by council, the price is exclusive of any other costs and charges associated with the supply of the item, including delivery or freight charges, insurance, duties, taxes that are not set out in Schedule 3. If incurred by council the purchaser is liable to pay for these costs and charges in addition to the price. Unless otherwise specified in the agreement, the contractor must pay council the amount stated on the invoice issued by council without set-off or deduction within the number of days stated in the schedule.
The contractor represents and warrants that each of the matters promised, represented or warranted by the contractor in its tender are repeated in this agreement except to the extent that the terms of this agreement are inconsistent with those matters, in which case the terms of this agreement shall prevail to the extent of inconsistency.
Council is seeking a suitably qualified contractor to collect and recycle scrap metal waste.
Liquidated damages are payable by the contractor in the amount specified in the service specification for each of the breaches identified in the service specification.

If the contractor breaches clause 30 (Collusion), without limiting its rights at law, council may terminate this agreement and claim damages for breach of contract.
